1. Acceptance of Terms
By accessing or using EventWings ("Service", "Platform"), operated by EventWings ("we", "us", "our"), you ("you", "User") agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.
These Terms apply to all users — including but not limited to organizers, administrators, participants, and visitors. By using the Platform on behalf of an organization (college, institution, company), you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
EventWings is a SaaS-based event management platform that enables organizers to create events, manage registrations, issue digital tickets, perform QR-based check-in, and analyze event performance. The Platform is provided as an online service accessible through modern web browsers.
Specific features available may vary based on your subscription tier, account type, and whether the Platform is in active production deployment, beta testing, or limited preview. We reserve the right to modify, add, or remove features at any time.
3. Eligibility & Account Registration
To use the Platform, you must:
- Be at least 18 years of age, or accessing under verifiable parental or institutional consent
- Provide accurate, current, and complete registration information
- Maintain the security and confidentiality of your account credentials
- Not impersonate any person, entity, or institution
- Not be barred from receiving services under applicable law
Organizer accounts are subject to verification. We reserve the right to refuse, suspend, or terminate accounts that fail verification or violate these Terms.
4. Organizer Responsibilities
If you use the Platform to create or manage events as an organizer, you agree to:
- Provide accurate event information including dates, venues, capacity, and pricing
- Comply with all applicable laws and regulations relevant to your events
- Obtain necessary licenses, permissions, and insurance for your events
- Respect the privacy and rights of participants who register through your events
- Lawfully collect, process, and protect participant data in accordance with applicable privacy laws
- Honor commitments made to participants (event delivery, refund policies, etc.)
- Not use the Platform for fraudulent, misleading, or unlawful events
- Maintain appropriate event-day staffing, safety procedures, and emergency protocols
Organizer-Participant Relationship: Organizers are independently responsible for the events they host. EventWings provides the technology platform but is not a party to the contract between organizers and participants. Any disputes related to event delivery, content, or organizer conduct should be resolved directly between the organizer and the participant.
5. Participant Responsibilities
If you register for events through the Platform as a participant, you agree to:
- Provide accurate registration information
- Comply with event rules and policies set by the organizer
- Behave appropriately at events you attend
- Not transfer or duplicate your tickets without organizer authorization
- Not use the Platform to harass, defraud, or harm other users
- Respect intellectual property rights of organizers and other participants
Failure to honor participant responsibilities may result in event entry being denied, account suspension, or other appropriate action.
6. Acceptable Use
You agree NOT to use the Platform to:
- Violate any applicable law, regulation, or third-party right
- Distribute spam, viruses, malware, or harmful code
- Attempt to gain unauthorized access to the Platform, other accounts, or related systems
- Interfere with the Platform's operation, security, or other users' use
- Scrape, copy, or extract data from the Platform without authorization
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use the Platform for any fraudulent, deceptive, or manipulative purpose
- Host events that promote violence, discrimination, illegal activities, or hate speech
- Misrepresent your identity, affiliation, or credentials
- Use the Platform in a manner inconsistent with its intended educational or institutional purpose
We reserve the right to investigate violations and take appropriate action, including immediate account suspension or termination.
7. Payment & Refunds
For paid events processed through the Platform:
- Payment terms are set by the organizer in accordance with their published policies
- Platform service fees, payment gateway fees, and applicable taxes (GST in India) may apply
- Refunds are governed by the organizer's published refund policy; EventWings facilitates but is not the principal party for refund decisions
- Failed transactions are typically reversed automatically; contact us if reconciliation is needed
- For organizer subscription fees (where applicable), payment is due per the agreed billing cycle; non-payment may result in service suspension
All transactions are processed by trusted third-party payment gateways. EventWings does not store full payment card details. See our Privacy Policy for details on payment data handling.
8. Account & Access
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or security breach.
We reserve the right to suspend or terminate access — at our sole discretion and without prior notice — if we detect:
- Misuse, fraud, or violation of these Terms
- Suspicious or potentially harmful activity
- Failure to pay applicable fees
- Account inactivity beyond reasonable retention periods
- Legal or regulatory requirements
9. Data Ownership & Privacy
Your data remains yours. We do not claim ownership of content, participant data, or institutional information you upload to or generate through the Platform.
You grant EventWings a limited license to host, store, and process your data solely for the purpose of providing the Service to you. Specific data handling practices, including collection, retention, and your data subject rights, are detailed in our Privacy Policy, which is incorporated by reference into these Terms.
Upon account termination, you may export your data within a reasonable period (typically 30 days). After that period, data may be deleted in accordance with our retention policy.
10. Intellectual Property
The EventWings Platform, including all software, design, branding, logos, content, and architecture, is the property of EventWings or its licensors and is protected by intellectual property laws. Unauthorized reproduction, distribution, or modification is strictly prohibited.
Your content: You retain ownership of content you create or upload (event descriptions, images, participant data). By uploading, you grant us a non-exclusive, royalty-free license to use, store, and display that content solely for the purpose of providing the Service.
Trademarks: "EventWings" and related names, marks, and logos are trademarks of EventWings. You may not use these without our prior written consent.
11. Service Availability
We strive to maintain high Platform uptime but do not guarantee uninterrupted or error-free service. The Platform may experience downtime due to:
- Scheduled maintenance (with reasonable advance notice where possible)
- Unscheduled maintenance for critical security updates
- Technical issues with infrastructure, third-party providers, or internet connectivity
- Force majeure events (see Section 15)
We will use commercially reasonable efforts to minimize disruption and restore service promptly. Specific uptime SLAs, where applicable, are set out in your subscription agreement.
12. Limitation of Liability
EventWings provides the Platform "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, EventWings shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, business, goodwill, or data
- Event cancellations, postponements, or organizer-participant disputes
- Participant misconduct or organizer non-performance
- Third-party content, services, or actions
- Damages exceeding the fees paid by you to EventWings in the 12 months preceding the claim
This limitation applies regardless of the legal theory under which the claim is brought (contract, tort, statute, or otherwise).
13. Indemnification
You agree to indemnify, defend, and hold harmless EventWings, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms or applicable laws
- Your violation of any third-party rights (privacy, intellectual property, etc.)
- Events you create or participate in through the Platform
- Content you submit or share through the Platform
14. Termination
Termination by you: You may stop using the Platform at any time and request account deletion through our contact page.
Termination by us: We may suspend or terminate your access at our discretion, with or without notice, for any reason including:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Legal requirements or court orders
- Discontinuation of the Service
Upon termination:
- Your right to access the Platform ends immediately
- You remain liable for any obligations incurred prior to termination
- You may export your data within 30 days of termination (where applicable)
- We may delete your data after the export window in accordance with our retention policy
- Provisions that by their nature should survive termination (intellectual property, liability limitations, indemnification, governing law) will continue to apply
15. Force Majeure
Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to:
- Natural disasters (earthquake, flood, fire, storms)
- Pandemics or public health emergencies
- War, terrorism, civil unrest, or government action
- Internet outages or critical infrastructure failures
- Cyber-attacks beyond commercially reasonable defenses
- Strikes, labor disputes, or supplier failures
The affected party will notify the other party promptly and use commercially reasonable efforts to resume normal operations.
16. Changes to Terms
We may update these Terms periodically to reflect changes in our services, legal requirements, or industry standards. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify users of material changes via email or platform notification (where appropriate)
- Provide a reasonable transition period before significant changes take effect
Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and other applicable Indian laws apply to your use of the Platform.
18. Dispute Resolution
We encourage resolving disputes amicably. If you have a concern, please contact us first at support@eventwings.com so we can address it directly.
If a dispute cannot be resolved informally, it shall be resolved through binding arbitration administered in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English. The seat of arbitration shall be in India, with the specific location determined at the time of the dispute.
Subject to the arbitration clause above, the courts in India shall have exclusive jurisdiction over any matters not subject to arbitration.
19. Severability & Entire Agreement
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Entire agreement: These Terms, together with our Privacy Policy and any subscription agreement you have with us, constitute the entire agreement between you and EventWings regarding the Platform and supersede all prior agreements on this subject.
No waiver: Failure by EventWings to enforce any provision of these Terms is not a waiver of that provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights to any successor entity without notice.
